Dear Delegates,

Following up on the discussion on updating INC Bylaws, I am forwarding the
documents discussed during last night's meeting. I will note that the
bylaws committee, Phillip Azur and Tom Miller respectfully, have worked
diligently, to create a document that is:

   1. concurrent with state and federal law
   2. will allow for an easier application process
   3. broadens the language to be inclusive of neighborhood/community
   coalitions and nonprofit delegates.


As a delegate, these documents are for the review of the organization that
you represent. This discussion will be continued during our April
delegation meeting. We ask that any questions be brought up for discussion
during the April meeting.

Madam President,

Andrew Foster, the professor who leads the Duke Community Law Clinic has
made the conforming changes to the Bylaws.  (I believe I received these
yesterday, possibly the day before.  While I have read over these and
discussed them with Andrew, the full committee has not had a chance to
review them. On the other hand, they are only conforming changes and there
is a lined version showing changes, so we may be able to proceed tonight.)

There is only one change that I would consider substantive. NC law does not
allow a quorum of less than 1/3 of the members.  (Suspended members due to
non-attendance are not counted.)

A more minor change:  The dissolution provision has been deleted as this is
addressed in the INC articles.  However, the proposed provision was
consistent with NC general statutes and with IRS requirements.  Therefore,
the change can be made when we amend and restate the articles.

1.  a few months have passed since a motion was seconded to vote on this
once the conforming changes were made, 2. Pat raised the issue of how
re-application to membership would logistically workout, and 3. there are
some other matters, I suggest that we go with a new motion (or have people
accept it as a friendly amendment):

Resolved:

1.  That the Amended and Restated Bylaws be passed as presented on March
22, 2022;

2.  That conforming changes be made to the Articles of Association of the
InterNeighborhood Council of Durham and that those Amended and Restated
Articles be presented to the board for adoption;

3. That Tom Miller be named as the registered agent of the
InterNeighborhood Council of Durham as expeditiously are reasonably
possible; and

4.. That in as much as members must reapply for membership to the
InterNeighborhood Council of Durham under the revised and restated bylaws,
members shall do so within 60 days of passage and that all neighborhoods
participating in the vote on the amended and restated bylaws be eligible to
vote on readmission of neighborhoods.
